END USER LICENSE AGREEMENT (EULA)

For the Database: Extended Climate Credit Risk Metrics NGFS STS 2025

IMPORTANT – READ CAREFULLY BEFORE PURCHASING OR DOWNLOADING

By clicking “I Agree,” checking a corresponding box, or otherwise indicating acceptance before completing your purchase, you (“Licensee”) agree to the terms of this End User License Agreement (“Agreement”) with:

If you do not agree to these terms, do not complete the purchase or access the Database.

1. DEFINITIONS

  • “Database” means the dataset titled Extended Climate Credit Risk Metrics NGFS STS 2025, including all data files, documentation, and related materials provided by CLIMAFIN.
  • “Use” means accessing, viewing, analyzing, or otherwise utilizing the Database for internal purposes.

2. LICENSE GRANT

CLIMAFIN grants Licensee a non-exclusive, non-transferable, non-sublicensable, revocable license to use the Database solely for internal business or research purposes.

3. RESTRICTIONS

Licensee shall not:

  • Redistribute, publish, sublicense, or transfer the Database, in whole or in part, to any third party.
  • Use the Database to provide a commercial service based on the data.
  • Create derivative databases or tools for third-party access without written permission.
  • Share, disclose, or otherwise make the Database available to external users or organizations.

4. OWNERSHIP AND INTELLECTUAL PROPERTY

All rights, title, and interest in and to the Database and all intellectual property therein remain exclusively with CLIMAFIN. No ownership is transferred by this Agreement.

5. TERM AND TERMINATION

This license is effective upon your acceptance and continues for a period of one (1) year from the date of purchase. After the expiry of one year, this license shall automatically terminate unless renewed in writing by CLIMAFIN. CLIMAFIN may also terminate this license at any time if you breach any term. Upon termination, you must cease all use of the Database and delete any copies in your possession.

6. NO WARRANTY

THE DATABASE IS PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND. CLIMAFIN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND MERCHANTABILITY.

7. LIMITATION OF LIABILITY

CLIMAFIN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFIT, DATA, OR BUSINESS INTERRUPTION, ARISING FROM USE OF THE DATABASE.

8. COMPLIANCE WITH LAWS

Licensee shall comply with all applicable laws and regulations regarding access and use of the Database.

9. GOVERNING LAW AND JURISDICTION

This Agreement is governed by the laws of France. Any disputes shall be submitted to the exclusive jurisdiction of the courts of Paris, France.

10. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties and supersedes all prior communications.
